Generally, federal and state antitrust laws prohibit unreasonable restraints of trade, such as conspiracies and agreements between competitors to engage in such activities as price-fixing, bid-rigging, customer or market allocation, and group boycotts or concerted refusals to deal with competitors, suppliers, or customers.
Each of the participants in this meeting is responsible for ensuring that topics which may give an appearance of an agreement that would violate the antitrust laws are not discussed. It is the responsibility of each participant in the first instance to avoid raising improper subjects for discussion, such as those identified below.
During our formal meeting and our social activities, we ask that you adhere to our meeting agenda and not discuss any of the following:
• Prices, fees, rates, or production capacity
• Disaggregated customer-specific information
• Dividing or allocating markets or customers
• Engaging in boycotts or refusals to deal
• Taking joint action against a customer, supplier, distributor, or competitor
• Future plans regarding product lines
• Your company’s future business strategy
